1. Introduction
Bricko Catalyst Private Limited ("Bricko Catalyst") is a leading provider of construction materials, integrated ERP and CRM solutions, and a home buyers platform for selling houses built by real estate developers. Bricko Catalyst's APIs (the "APIs") enable developers to integrate with Bricko Catalyst's platform and access a wide range of features and services. This API Policy governs your use of the APIs. By accessing or using the APIs, you agree to be bound by this API Policy.2. Definitions
- "API" means any application programming interface provided by Bricko Catalyst.
- "Bricko Catalyst" means Bricko Catalyst Private Limited, a company incorporated in India.
- "Data" means any information, data, or content that is transmitted, received, or stored using the APIs.
- "Developer" means any individual or entity that uses the APIs to develop applications or services
- Documentation" means the documentation provided by Bricko Catalyst for the APIs.
3. Permitted Use
You may use the APIs to develop applications or services that:
- Are consistent with the Documentation;
- Comply with all applicable laws and regulations;
- Do not infringe the intellectual property rights of any third party;
- Do not damage or disrupt the APIs or any related systems; and
- Do not collect or store any Data without the express consent of the Data subjects
3. Prohibited Use
You may not use the APIs to:
- Develop applications or services that are competitive with Bricko Catalyst's products or services;
- Reverse engineer, decompile, or disassemble the APIs
- Sell, lease, or otherwise distribute the APIs;
- Use the APIs for any illegal or unauthorized purpose; or
- Violate any of the terms of this API Policy.
5. Data Protection
You agree to take all reasonable steps to protect the Data from unauthorized access, use, or disclosure. You will not use the Data for any purpose other than the purpose for which it was collected. Bricko Catalyst will not be liable for any damages resulting from your failure to protect the Data6. Termination and Indemnity
Bricko Catalyst may terminate your access to the APIs at any time for any reason, with or without notice. Bricko Catalyst will not be liable for any damages resulting from the termination of your access to the APIs.Indemnity
- You will indemnify and hold harmless Bricko, its affiliates and network partners, and any of their respective officers, directors, employees and agents from and against any claims, costs, charges, damages, losses and expenses (including reasonable attorneys and consultants fees and expenses) with respect to any third party claim relating to or arising out of: (a) your use of any Licensed Content in a manner inconsistent with the terms of this Licence Agreement; (b) your breach of this Licence Agreement, (c) breach of any applicable laws, regulations, or ordinances; (d) the Developer Platform or (e) the Developer Applications. Bricko will: (i) promptly notify you of such claim (provided, however, that a failure to provide such notice shall not limit your indemnification obligation hereunder except to the extent that you are materially prejudiced thereby) and (ii) permit you to participate in the defence of any such claim at its expense, with counsel reasonably acceptable to Bricko.
- Limitation of Liability: IN ADDITION TO YOUR LIABILITY FOR BREACH OF THE TERMS OF THIS AGREEMENT YOU SHALL BE LIABLE FOR BREACHES OF CONFIDENTIALITY, YOUR USE OF THE LICENSED CONTENT,IN A MANNER INCONSISTENT WITH THE TERMS OF THIS LICENCE AGREEMENT. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST DATA, LOST PROFITS, LOST REVENUE OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING BUT NOT LIMITED TO CONTRACT OR TORT (INCLUDING PRODUCT LIABILITY, STRICT LIABILITY AND NEGLIGENCE), AND WHETHER OR NOT SUCH PARTY WAS OR SHOULD HAVE BEEN AWARE OR ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY STATED HEREIN. NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN CONTAINED BRICKO’S LIABILITY UNDER THIS LICENSED AGREEMENT SHALL NOT EXCEED $500. FURTHER, IN NO EVENT SHALL YOUR LIABILITY BE LIMITED UNDER THIS LICENSED AGREEMENT. The Parties agree that the mutual agreements made in this Section reflect a reasonable allocation of risk. Any claim arising out of or relating to this Licence Agreement must be brought by the later of 2 (two) years following the occurrence of the event giving rise to such claim or 1 (one) year following discovery of such claim.
7. Governing Law
The validity, construction and performance of this Licence Agreement shall be governed by, and construed and enforced in accordance with, the laws of India. Any dispute or difference whatsoever arising between the parties out of or relating to the construction, meaning, scope, operation or effect of this agreement or the validity or the breach thereof shall be settled by arbitration in accordance with the Rules of International Commercial Arbitration of the Indian Council of Arbitration and the award made in pursuance thereof shall be binding on the parties. The Parties specifically exclude from application to the Agreement the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act.8.
